These Terms of Use ("Terms") govern your use of this website (the "Site"), operated by B-K Tool ("we," "us," or "our"). Please read these Terms before using the Site. By using the Site after being given an opportunity to review these Terms, you agree to them to the extent permitted by applicable law. If you do not agree, do not use the Site.
1 Purpose and scope
The Site provides information about B-K Tool’s industrial automation, robotics integration, mechanical and electrical engineering, fabrication, welding, CNC machining, finishing, assembly, installation, and equipment service capabilities. It also provides news, contact and quote-request forms, and career opportunities.
These Terms govern use of the Site. They do not establish the commercial terms for equipment, parts, engineering, manufacturing, installation, maintenance, or other services. A separate applicable quotation, accepted order, service agreement, nondisclosure agreement, or other contract governs the relevant transaction or project and prevails over these Terms on that subject.
2 Inquiries and requests for quotations
Submitting an inquiry or quote request does not place an order, reserve capacity, create a service engagement, or require either party to proceed with a project. An automated receipt message confirms receipt only; it does not confirm commercial acceptance or promise a response time.
Project scope, price, specifications, tolerances, delivery, installation, testing, acceptance, payment, warranties, and other commercial obligations must be established through the applicable contracting process. Website descriptions and examples are not a binding quotation. Do not rely on a requested date or specification until it is accepted under the applicable agreement.
If you contact us on behalf of an organization, you must have authority to make the inquiry and share the information provided. You are responsible for providing accurate and reasonably complete information and for notifying us of material corrections.
3 Technical information and safety
Articles, photographs, videos, equipment lists, process descriptions, and performance examples are provided for general information. Suitability, cycle times, throughput, tolerances, and other results depend on the specific application, parts, materials, equipment, installation, operating conditions, and agreed specifications. An example or past result is not a guarantee for another project.
Site content is not a substitute for a project-specific engineering review, risk assessment, operating manual, training, or applicable safety requirements. Do not use it alone to design, modify, operate, or service industrial equipment. These Terms do not alter B-K Tool’s obligations under an applicable project agreement or duties that cannot lawfully be excluded.
4 Permitted use and prohibited conduct
You may access the Site for lawful business information, inquiries, or job applications and may print or download reasonable portions of publicly available content for personal or internal business evaluation, provided you preserve applicable ownership notices.
You must not misuse forms, submit fraudulent information, impersonate another person, send spam or malicious code, infringe another person’s rights, attempt unauthorized access, bypass security measures, or interfere with the Site’s operation. Automated access that burdens the Site, evades access restrictions, or collects personal information without authorization is prohibited. These restrictions do not limit rights that applicable law does not allow us to restrict.
5 Intellectual property
The Site and its text, graphics, photographs, videos, designs, logos, and other materials are owned by B-K Tool or the respective rights holders and are protected by applicable intellectual property laws. Except for the limited permission in Section 4 or rights provided by law, you may not reproduce, distribute, sell, modify, or create derivative works from Site materials without permission from the relevant rights holder.
B-K Tool names and logos, and third-party names and marks displayed on the Site, belong to their respective owners. Display of a manufacturer’s or partner’s mark does not grant you a license to use it or create a warranty by that third party. These Terms do not transfer rights in project drawings, designs, software, or deliverables; those rights are addressed in the applicable project agreement.
6 Information and materials you submit
You retain your rights in information and materials you submit. You authorize B-K Tool and providers assisting us to receive, store, reproduce, and review that material only as reasonably needed to evaluate or respond to your inquiry or application, carry out an agreed purpose, or comply with law. This permission does not authorize public posting, advertising use, or sale of your proprietary material.
Submit only material you are entitled to share. Do not include another person’s personal information without appropriate authority. Do not send export-controlled information, confidential manufacturing details, trade secrets, or other restricted material through ordinary website forms without first arranging appropriate handling with us.
Submitting a form does not by itself create a nondisclosure agreement. Any existing confidentiality agreement remains effective according to its terms. Personal information is handled as described in the Privacy Policy available on this Site. These Terms do not replace legally required privacy notices or consent.
7 Career information and applications
Job postings describe opportunities that may change or close. Submitting an application does not guarantee an interview, an offer, or employment and does not create an employment contract. Any offer, compensation, benefits, and conditions of employment are addressed through the hiring process and applicable documents, subject to law.
Provide truthful, relevant application information. Do not provide criminal-history or other sensitive details that applicable law does not permit us to request or consider. An application is not a waiver of employment rights or an authorization for a background check; any legally required separate disclosures and authorizations apply.
8 Third party links and Site availability
The Site may link to social media, industry resources, and other third-party websites. We do not operate those services and are not responsible for their content or availability. Their own terms and privacy notices apply. A link does not by itself constitute an endorsement.
We may update, correct, suspend, or discontinue Site content or features and restrict access where reasonably necessary to address misuse, security concerns, legal requirements, or operational needs. We do not guarantee continuous availability. Changes to the Site do not cancel obligations under a separate agreement.
9 Website disclaimers
To the fullest extent permitted by law, the Site and its general informational content are provided "as is" and "as available," without warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or noninfringement. We do not warrant that Site content will always be complete, current, error-free, or available, or that the Site will be free from every security threat.
These disclaimers relate to the Site and do not replace or reduce any express warranty, obligation, or remedy in an applicable equipment or service agreement. They do not exclude statutory rights or obligations that cannot lawfully be excluded.
10 Limitation of website liability
To the fullest extent permitted by law, B-K Tool will not be liable for indirect, incidental, special, consequential, or punitive damages, including consequential loss of profits, production, business opportunities, or data, arising from use of or inability to use the Site or reliance on its general informational content, even if advised of the possibility of those damages.
This limitation applies only to Site-related claims. It does not determine liability under an equipment, manufacturing, engineering, or service contract. Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence, or any liability or remedy that cannot lawfully be limited. If a limitation is not permitted in your jurisdiction, it applies only to the extent permitted there.
11 Governing law and disputes
These Terms and disputes relating to the Site are governed by the laws of the State of Ohio, United States, without applying conflict-of-law rules that would require another jurisdiction’s law. Nothing in these Terms overrides mandatory legal protections available to you or a dispute-resolution provision in a separate applicable agreement.
12 Changes and general provisions
We may revise these Terms by posting an updated version with a new effective date and providing additional notice where required by law. Revisions apply prospectively and do not change a separate signed agreement. If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.
